Honeywell Change Makes It Easier to Force Out Directors

Honeywell International Inc., the world's largest maker of aircraft cockpit controls, adopted a provision making it easier for shareholders to force out directors in corporate-governance disputes.

Directors standing unopposed for re-election must offer to resign if more than half of shareholders withhold their votes, the New Jersey-based company said Monday. A special committee would review and make a recommendation on what action to take on the resignation.
